Signing Services without an ICA

Especially from the Signing Order Platform, I frequently run into Signing Services that do not have their own Independent Contractor Agreement (ICA). What is your opinion regarding providing your own ICA?
Things I’ve thought about including:

  • Making sure to ask them first what their payment terms are and how they pay.
  • If they do not respond clause for “within 30 days”
  • Implied Consent, “by continuing to utilize our services…”
  • Late Fee
  • Interest added for 30 days or more late.
  • Who will be responsible for collection Fees & court fees.

Do you think this is a good idea?

You can do it, but it’ll be totally ignored anyway. You’d be far better off vetting the company before completing work for them as there are just too many clueless people starting SS to make the big bucks they aren’t making as an NSA.

If they ignore it, and continue to use your service with an implied consent, then you’ll at least have something to take to court if needed.

It’ll cost as much to take it to court as you’ve already lost. Taking it to court only gets you a piece of paper saying ‘you won’…you still have to figure out how to collect. Judges don’t make 'em write a check…and might not even rule for you on court costs. It’s not a cut & dried thing.
